Lancea provides bespoke, tailored services ranging from a full "hands-on" service (described under the headings below) to more limited marketing assignments or pure financial advisory work. In all cases, Lancea's prime objective is to maximise the corporate client's chances of success in attracting supportive long term investors sourced, as appropriate, from the institutional venture capital/private equity marketplace, family offices and/or sophisticated High Net Worth individuals.
Pre-marketing and Documentation In a similar structured fashion to the process undertaken with alternative investment funds, a pre-marketing exercise commences with a thorough due diligence exercise conducted by Lancea. This is intended to understand fully the investment strategy; the competitive positioning of the business; the strengths and weaknesses of the management team and to identify the issues that would be of concern to investors. In particular, critical guidance is provided regarding the optimum capital structure for the business (the balance between equity, mezzanine (if appropriate) and senior debt, through fundamental cashflow analysis), valuation expectations and the terms of investment. At the same time, Lancea will interact with selected investors to obtain initial feedback on the investment proposition and will provide assistance with the preparation of the offering memorandum/business plan, the road show presentation and due diligence materials. The goal is to deliver an investment proposition that is institutionally "robust", positively differentiated from its competitors in its marketplace and in the funding market.
Marketing and Closing As with alternative investment funds, Lancea compiles a list of suitable potential financial or strategic investors reflecting the full spectrum of capital providers available to the client, qualifies and organises them by likelihood of investing, and outlines a time horizon for solicitations. Having contacted investors and arranged meetings, where appropriate, Lancea then co-ordinates communications between the client, the potential investor(s), and other service providers such as lawyers and accountants to facilitate the investment process. In particular, Lancea helps clients to evaluate the various funding proposals and provides critical assistance in the negotiation of investment terms, price and deal structure.
